These Terms & Conditions ("Terms") govern your use of the CompliWorx service ("Service") provided by Taproot Commerce LLC ("Taproot Commerce", "we", "us", "our"), a Connecticut limited liability company. By accessing or using the Service you agree to these Terms.
1. Who you are contracting with
You are contracting with Taproot Commerce LLC, trading as CompliWorx, a Connecticut limited liability company with EIN 41-3990277, located at 2389 Main St., Ste 100, Glastonbury, CT 06033, United States.
2. Authority and eligibility
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you use the Service as an individual, you must be of legal age in your jurisdiction.
3. The Service
CompliWorx is a compliance management platform for workers, vehicles, equipment, documents, and inspections. Features available to you depend on the plan you select.
4. Account credentials and accuracy
You must keep your account credentials confidential and are responsible for activity under your account. You agree to provide accurate information and keep it updated.
5. Acceptable use
You must not misuse the Service. You agree not to:
- use the Service for unlawful purposes;
- commit fraud, send spam, or impersonate others;
- infringe the intellectual property or other rights of any party;
- interfere with the security or integrity of the Service, including by introducing malware, probing or scanning, or scraping;
- reverse engineer, resell, or redistribute the Service, or circumvent technical limits.
6. Intellectual property
Taproot Commerce retains all right, title, and interest in the Service, including all software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.
7. Your content
You retain ownership of the data and content you upload. You grant us a limited license to host, process, and display your content solely to provide the Service.
8. Payment, billing, and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms, available at paddle.com/legal/checkout-buyer-terms.
9. Service level
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free performance.
10. Warranties and disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Inspection checklists and compliance content are provided to assist you; they are not legal advice. Verify current regulatory requirements with your safety officer.
11. Limitation of liability
To the fullest extent permitted by law, our aggregate liability for any claim relating to the Service will not exceed the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is not permitted.
12. Indemnification
You will indemnify and hold us harmless from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.
13. Suspension and termination
We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends; we will provide a reasonable export window for your data before deletion, except where prohibited by law.
14. Governing law and disputes
These Terms are governed by the laws of the State of Connecticut, United States, without regard to conflict-of-laws principles. The state and federal courts located in Hartford County, Connecticut have exclusive jurisdiction over any dispute.
15. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
16. Force majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control.
17. Changes
We may update these Terms from time to time. Material changes will be notified through the Service or by email.
